Terms of Use

1. What this service is

FileBizOnline (“we,” “us”) is a document preparation and filing service. When you complete a filing and pay the applicable fee, you authorize us to prepare and submit a California Statement of Information to the California Secretary of State on your behalf, based solely on the information you provide through our form. We are not a law firm, do not provide legal or tax advice, and our staff are not acting as your attorney.

2. Accuracy of your information

You are responsible for the accuracy and completeness of everything you submit — entity details, officer and director information, addresses, and disclosures. We review submissions for completeness before filing, but we do not independently verify facts about your corporation, and we file based on what you tell us. Errors that result from inaccurate information you provided are your responsibility to correct, including any cost of refiling.

3. Fees

Our current fee is $150 per filing, shown to you before checkout. This fee covers our preparation and filing service only. Any separate fee charged directly by the State of California is not included and, where applicable, is disclosed separately. See our refund policy for cancellation and refund terms.

4. Accounts and guest checkout

You can complete and pay for a filing without creating an account. If the email you provide matches an existing account, we'll ask you to sign in first so your filing is never attached to an account you can't access. If you check out as a guest, we create an account for you afterward using that same email and send you a secure link to set access to it. You're responsible for keeping your account credentials confidential.

5. Acceptable use

• Submit only information you have the right and authority to submit.
• Don't use the service to file on behalf of an entity you're not authorized to act for.
• Don't attempt to disrupt, reverse engineer, or abuse the service or its rate limits.

6. No guarantee of state acceptance

We prepare and submit your filing, but the California Secretary of State has sole discretion over accepting it. If the state rejects a filing for a reason unrelated to an error on our part, we'll work with you to correct and resubmit it.

7. Limitation of liability

To the fullest extent permitted by law, FileBizOnline is not liable for indirect, incidental, or consequential damages arising from your use of the service, including penalties assessed by any government agency. Our total liability for any claim is limited to the fee you paid for the filing giving rise to the claim.

8. Changes to these terms

We may update these terms from time to time. If we make a material change, we'll update the date at the top of this page. Continued use of the service after a change means you accept the updated terms.

9. Governing law

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles.
